Commercial participation arrangements offered by Globex Horizon Investment L.L.C. (hereinafter "Globex Horizon") are structured as direct private bilateral business partnerships under UAE Federal Commercial Law. They are not publicly offered financial products, securities, collective investment schemes, or deposit products.

Participants become direct commercial partners in the relevant operating businesses. Participation outcomes are derived from the actual commercial performance of those businesses and are subject to the risks inherent in private commercial enterprise.

Globex Horizon operates under UAE Federal Commercial Law. Changes in UAE law, regulation, licensing requirements, or government policy could affect the company's ability to operate in its current form or meet its obligations. The company is not subject to the investor protection frameworks applicable to SCA, DFSA, FSRA, or CBUAE-regulated products.

4. Operational Risks

Private commercial enterprises are subject to a range of operational risks that may affect financial performance, including but not limited to:

• Changes in consumer demand for products and services
• Increased competition in operating sectors
• Staff turnover and recruitment challenges
• Lease renewals and property market changes
• Supply chain disruption
• Changes in licensing, health, and safety requirements
• Technology or systems failures
• Reputational risks affecting brand value

5. Performance Risk

All performance figures, participation rates, and financial projections communicated by Globex Horizon — whether on this website, in marketing materials, in calculators, or verbally — are indicative targets based on current operational performance. They are not guaranteed, promised, or contractually committed unless expressly stated in a signed formal participation agreement.

Past performance of the operating businesses is not indicative of future results. Actual outcomes may differ materially from indicative figures.

6. Counterparty Risk

Participants are exposed to the credit risk of Globex Horizon Investment L.L.C. as the counterparty to their contract. While the company provides structural safeguards including security cheques and Dubai Court registration, these safeguards are only as effective as the legal enforcement mechanisms available under UAE law and the company's ability to meet its obligations at the time of any claim.

7. Safeguards Available

Globex Horizon provides the following structural safeguards to mitigate participation risk:

• Bilateral contract under UAE Federal Commercial Law with all terms, rates, and payment schedules contractually binding
• Security cheque covering the full participation amount, issued on signing day before funds transfer
• Post-dated cheques for each future payment obligation, issued upfront
• Dubai Court registration making rights immediately enforceable
• Precautionary freezing rights under UAE Federal Decree-Law No. 42 of 2022 upon any default

These safeguards reduce but do not eliminate participation risk. Participants are advised to seek independent legal advice before entering into any arrangement.

8. Not Suitable For Everyone

Commercial participation with Globex Horizon is not suitable for all persons. You should not participate if:

• You may need access to your resources before the end of your participation period
• You cannot afford to lose some or all of the resources you are considering
• You have not obtained independent legal and financial advice
• You have not conducted your own due diligence on the operating businesses
• You do not fully understand the nature of a private commercial participation arrangement

9. Independent Advice

Globex Horizon strongly recommends that all prospective partners obtain independent legal advice from a UAE-licensed lawyer and independent financial advice from a qualified financial adviser before entering into any participation arrangement. Globex Horizon's specialists provide information about the company and its arrangements — they do not provide regulated financial advice.
